Payments Agreement

Version 1.0 · effective 8 November 2026.

This Payments Agreement sets out the terms on which Netpractice (Pty) Ltd lets your practice collect payments from your patients through the Receive payments feature of the NetPractice service. It applies only if your practice switches Receive payments on and accepts it in the app. It forms part of, and is read with, our Terms of Service and our Operator Agreement. If this Agreement and the Terms of Service disagree about Receive payments, this Agreement applies.

1. Parties

1.1. The parties are your practice ("you", the "Practice") and Netpractice (Pty) Ltd, registration number 2012/072246/07 ("Netpractice", "we").

1.2. Payments are processed by Paystack, operating in South Africa through its local Paystack entity ("Paystack"), a licensed payment service provider. Paystack is not a party to this Agreement.

2. Definitions

"Payment" means an amount a Patient pays to you through a Pay Link.

"Pay Link" means the link, and its QR code, that we put on your invoices and statements or send to a Patient on your behalf, which opens a page where the Patient can pay you.

"Patient" means a person who owes your practice money for a service you provided.

"Payout Account" means the bank account you nominate and we verify, into which Payments are settled.

"Fee" means our fee for each Payment, set out in clause 5.

"Chargeback" means a Payment reversed by the Patient's bank or card issuer after the Patient disputes it.

"Automatic Requests" means the optional Revenue Assurance service in clause 10, in which we ask Patients to pay on your behalf.

3. What Receive payments is

3.1. Receive payments lets a Patient pay you by card, Apple Pay, Google Pay, Capitec Pay or Instant EFT, through a Pay Link. The methods offered may change as Paystack adds or removes them.

3.2. Each Payment is processed by Paystack and settled by Paystack directly into your Payout Account, less the Fee. Netpractice never receives or holds your Patients' money.

3.3. The amount a Pay Link asks for is the amount the NetPractice service shows as owed by the Patient on that invoice at the time the Patient opens it: for a visit claimed from a medical scheme, the part the scheme decided it would not pay, and for a private visit, the open balance. A Pay Link offers no payment while the scheme has not decided a claim, or while the claim needs you to correct it.

3.4. When Paystack confirms a Payment, we record it against the visit in your NetPractice account as a patient payment.

3.5. Netpractice is not a bank, does not provide credit, and does not collect debts. We provide the software that lets your Patients pay you.

4. Verification

4.1. Before Receive payments is switched on, the person accepting this Agreement must verify their identity, and we must verify that the Payout Account belongs to your practice or to the practitioner. You confirm that the person accepting is the owner of the practice, or has been authorised by the owner to accept this Agreement on the practice's behalf.

4.2. You confirm that everything you give us for verification is true and complete, and you will tell us promptly if it changes.

4.3. We and Paystack may ask for further information at any time to meet our legal obligations, including under the Financial Intelligence Centre Act, and may decline or suspend Receive payments if it is not provided.

5. The Fee

5.1. Our Fee is 5% of each Payment, with a minimum of R5 per Payment, including VAT. It is deducted from the Payment before the balance is settled into your Payout Account. Amounts under R10 are not offered for payment online.

5.2. The Fee includes Paystack's processing charges. You pay no monthly fee, set-up fee or card machine fee for Receive payments.

5.3. We will give you a tax invoice each month for the Fees deducted in that month, on your NetPractice invoice or as a separate fee statement.

5.4. We may change the Fee by giving you at least 30 days' written notice. A change does not apply to Payments made before it takes effect.

6. Payouts and your Payout Account

6.1. Paystack settles each Payment, less the Fee, into your Payout Account within 3 business days of the Payment. Business days exclude weekends and South African public holidays; a Payment made on a weekend or public holiday is counted from the next business day.

6.2. Only the practice owner or a practice administrator may change the Payout Account. A new account must be verified again, and we will email you when it changes. Payments start going into a new Payout Account 48 hours after that email, so that you can stop a change you did not make.

6.3. Neither Netpractice nor Paystack is responsible for a Payment settled into a Payout Account you gave us, if the account details were correct when verified.

7. Refunds

7.1. You may refund a Patient in full or in part, up to the amount of the original Payment, by asking NetPractice support. We arrange the refund through Paystack.

7.2. A refund is recovered from your next payout. If there is no payout to recover it from, we may add it to your next NetPractice invoice or charge it to the card your practice has saved with us.

7.3. The Fee on a refunded Payment is not returned, because the cost of processing the Payment has already been incurred.

7.4. You are responsible for deciding whether a Patient is entitled to a refund, and for any refund the law requires you to make.

8. Disputes and Chargebacks

8.1. A Patient's bank or card issuer may reverse a Payment if the Patient disputes it. We will tell you as soon as we learn of a dispute.

8.2. You will give us the evidence needed to answer the dispute, such as the invoice, the visit record and proof of the service, within 5 business days of our request. We will prepare the response from the records in your NetPractice account and submit it through Paystack.

8.3. If a Chargeback stands, the amount of the Chargeback and any fee the card scheme or Paystack charges us for it are recovered in the same way as a refund under clause 7.2.

8.4. You indemnify Netpractice against any Chargeback, refund, fine or loss that arises from the service you provided to the Patient or from the amount you billed.

8.5. If disputes on your practice's Payments are unusually high, we or Paystack may suspend Receive payments for your practice until the cause is understood.

9. Your responsibilities

9.1. You are responsible for the services you provide and for the amounts you bill, including that they are lawful, correctly coded and consistent with your professional and ethical obligations.

9.2. You will not use Receive payments to ask a Patient to pay an amount that the law does not allow you to recover from the Patient, including, where it applies, an amount a medical scheme must pay in full for a prescribed minimum benefit. You can switch off each reason for an Automatic Request in the app for this purpose.

9.3. You will not add a surcharge to a Payment, and you will not accept Payments for anyone other than your practice.

10. Automatic Requests (Revenue Assurance)

10.1. Automatic Requests are optional and cost R199 a month, including VAT, billed on your monthly NetPractice invoice from the month you switch them on, with the first month charged in proportion to the days remaining.

10.2. When they are on, you instruct us to send your Patients a Pay Link by SMS and, where we hold the Patient's email address, by email, in your practice's name, when:

  • a medical scheme decides the Patient owes all or part of a claim, or pays the Patient instead of you; or
  • a private visit is still unpaid after your waiting period,

and to send up to two reminders. You choose which of these reasons apply, how long to wait before the first message, and the channels used, and you can switch Automatic Requests off at any time.

10.3. We never send an Automatic Request for a claim the scheme says you must correct, or while the scheme is still assessing it.

10.4. Messages carry your practice's name, the amount and the Pay Link. They never contain a diagnosis, a medical scheme's reason or any clinical information. A Patient can stop messages at any time, and we will honour that.

11. Personal information

11.1. We process your Patients' contact details and the details of what they owe on your behalf, as your operator, under the Operator Agreement.

11.2. Card and bank details a Patient enters to pay are collected and processed by Paystack, which is responsible for them under its own terms and the Payment Card Industry Data Security Standard. Netpractice and your practice never see or store them.

12. Suspension and ending this Agreement

12.1. You can switch Receive payments off in the app at any time. Pay Links stop accepting Payments immediately.

12.2. We may suspend or end Receive payments for your practice on reasonable notice, or immediately if we reasonably suspect fraud, if Paystack requires it, or if you breach this Agreement.

12.3. Clauses 7, 8 and 13 continue to apply after Receive payments ends, for Payments made before it ended.

13. Liability

13.1. Netpractice is not liable for delays, failures or errors of Paystack, a bank or a card scheme, or for any loss caused by information you gave us that was wrong.

13.2. Our total liability to you under this Agreement in any 12-month period is limited to the Fees we received from your practice in that period. The limitations in our Terms of Service also apply.

14. Changes

14.1. We may change this Agreement by giving you at least 30 days' notice in the app and by email. If you do not agree, you may switch Receive payments off before the change takes effect.

15. General

15.1. This Agreement is governed by the law of the Republic of South Africa.

15.2. Questions about this Agreement: support@netpractice.co.za.
